1. Scope and authority

These Business Terms apply when an organisation or individual uses Colver primarily for a trade, business, craft, or profession. They form a contract with Colver.im. Consumer Terms apply instead where mandatory consumer law treats the customer as a consumer; a plan name such as For Work does not decide that status.

The person accepting these Terms confirms that they can bind the customer. An order, signed agreement, or Data Processing Addendum can add or replace terms where it expressly says so.

2. Service and customer administration

Colver provides the hosted agent-building and agent-runtime features described in the applicable order and product interface. The customer controls its workspaces, users, files, agent definitions, connections, publication choices, and approvals.

The customer is responsible for account administration, authorised users, endpoint security, and promptly removing access that is no longer needed. Colver may change or discontinue a feature for security, legal, provider, or technical reasons and will give reasonable notice of a material adverse change where practical.

3. Customer data and instructions

The customer retains its rights in Customer Data and gives Colver the limited rights needed to provide, secure, support, and improve the service for that customer. The customer confirms that its instructions, data, and connected accounts are lawful and that required notices, permissions, and legal bases are in place.

Where Colver processes personal data on the customer's behalf, the Data Processing Addendum applies. Colver does not use Customer Data to train a Colver-owned foundation model.

4. Agents, outputs, and external actions

The customer is responsible for defining, testing, supervising, and deploying its agents. AI output can be wrong or non-unique. The customer must apply qualified review and any notices, impact assessments, human oversight, recordkeeping, and approvals required for its use case.

The customer must use least-privilege tool scopes and must not bypass a Colver approval or safety control. External services, connector destinations, and customer-selected models remain subject to their own terms and availability.

5. Fees, credits, and taxes

The customer will pay the fees, taxes, and recurring charges shown in its order or payment checkout. Unless the order says otherwise, subscriptions renew monthly until cancelled and service usage is measured through the credit ledger described in the Credits and Subscription Terms.

Overdue, reversed, or disputed payment can lead to suspension after any notice required by the agreement or law. The customer is responsible for taxes other than taxes based on Colver's net income, subject to valid exemption documentation.

6. Confidentiality and security

Each party will protect the other party's non-public business, technical, and security information with reasonable care and use it only for the agreement. Confidentiality does not cover information that was lawfully known without restriction, becomes public without breach, is independently developed, or is lawfully received from another source.

A party may disclose confidential information where law requires it, after giving notice where permitted. Colver's security approach and reporting channel are described in Security and Vulnerability Reporting.

7. Product rights and feedback

Colver and its licensors retain rights in the service, software, documentation, models, interface, and improvements. The customer may use the service during the subscription for its internal business purposes and approved shared-agent use.

If the customer voluntarily provides feedback, Colver may use it without restriction or payment, provided that doing so does not disclose Customer Data or identify the customer as an endorser without permission.

8. Warranties

Each party confirms it can enter into the agreement. Colver will provide the service with reasonable care and skill. Except for express terms and rights that cannot be excluded, Colver does not warrant uninterrupted operation, a particular business outcome, or the accuracy of probabilistic output or third-party services.

9. Liability

Neither party excludes liability that cannot legally be excluded, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence. Neither party is liable for indirect or unforeseeable loss to the extent the law permits.

These terms do not set a default monetary cap for business liability. Any cap, exclusions, insurance requirements, or service levels must be agreed in the Business Terms or an order before they take effect.

10. Suspension and termination

Either party may terminate as stated in the order. Colver may suspend access needed to contain a security incident, stop unlawful or prohibited use, respond to a provider or legal requirement, or address material non-payment. Where practical, Colver will limit the suspension and explain what is required to restore access.

On termination, the customer must stop using the service and pay accrued amounts. Data return and deletion follow the Data Processing Addendum and Privacy Policy. Provisions intended to survive do so, including accrued payment, confidentiality, rights, liability, and dispute terms.

11. General terms

Spanish law governs these Business Terms and the courts of Barcelona, Spain have exclusive jurisdiction, unless a written agreement says otherwise. Neither party may assign the agreement without the other's consent, except as part of a genuine reorganisation or transfer of substantially all relevant business assets where the assignee accepts the agreement.

Notices to Colver must be sent to help@colver.im. The customer must keep its notice and billing details current.
